ExactPour End User License Agreement (EULA)

Last updated: October 7, 2026

This End User License Agreement ("EULA") governs your use of the ExactPour mobile and web applications and any related software, including any AI-powered or automated features (the "Software"), provided by ExactPour LLC ("ExactPour," "we," or "us"). By downloading, installing, accessing, or using the Software, you agree to this EULA. If you are using the Software on behalf of an organization, you represent that you have authority to bind that organization, and this EULA binds both you and the organization.

This EULA supplements the ExactPour Master Subscription Agreement (Terms of Service). It covers install and app-store rules. The Terms control the Service, including AI outputs, data, and export. If this EULA conflicts with the Terms on the software license, the Terms control, except for the Apple and Google terms in this EULA, which control for those stores. Your use of the Software is also subject to our Acceptable Use Policy and Privacy Policy.

1. License Grant

Subject to your compliance with this EULA, the Terms of Service, the Acceptable Use Policy, and an active subscription, ExactPour grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control, solely for your internal business purposes and only by Authorized Users as defined in the Terms of Service.

2. License Restrictions

You may not, and may not permit any Authorized User or third party to:

  • copy, modify, translate, or create derivative works of the Software, except as expressly permitted by applicable law;
  • reverse engineer, decompile, disassemble, or attempt to derive source code, algorithms, or underlying ideas from the Software, except to the extent this restriction is prohibited by applicable law;
  • rent, lease, lend, sell, sublicense, distribute, or otherwise make the Software available to any third party;
  • remove, alter, or obscure any proprietary notices or labels on or in the Software;
  • use the Software to build or train a competing product or service. You may evaluate ExactPour against another product for your own buying decision;
  • use any AI-powered, automated, scripting, or agentic features within or accessed through the Software (including any browser automation capabilities) in violation of the Acceptable Use Policy, or in a manner that violates the terms of any third-party service or website;
  • use the Software in any manner that violates the Acceptable Use Policy, including but not limited to submitting false or manipulated data or misusing AI features; or
  • use the Software for any unlawful purpose or in violation of any applicable law or third-party rights.

3. Ownership

The Software is licensed, not sold. ExactPour and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights, improvements, and derivative works.

You retain ownership of all Customer Data (as defined in the Terms of Service) that you submit to or generate through the Software, subject to the license granted to ExactPour in the Terms of Service and Privacy Policy.

4. Updates and Upgrades

ExactPour may provide updates, upgrades, patches, or new versions of the Software. This EULA (and any updated version) governs all such updates unless they are accompanied by separate terms. We may require you to install updates to continue using the Software. Your continued use of the Software after an update constitutes acceptance of the updated EULA.

5. Device Permissions and Data

The mobile Software may request device permissions (for example, camera access for barcode scanning). You can manage these permissions in your device settings. Disabling required permissions may limit or disable certain functionality. Any data captured or processed via device permissions (such as images for barcode scanning) is handled in accordance with our Privacy Policy.

6. App Store Terms

If you obtained the Software through a third-party app store (such as the Apple App Store or Google Play), your use is also subject to that store's terms of service and usage rules. Apple and Google (and their affiliates) are third-party beneficiaries of this EULA and may enforce it against you, but they are not responsible for the Software, its content, or any support or maintenance.

7. Termination

This license terminates automatically if you breach this EULA, the Terms of Service, or the Acceptable Use Policy, or if your subscription ends or is terminated. Upon termination, you must immediately stop using the Software and delete or destroy all copies in your possession or control. Data export and retention after termination are governed by Section 13.4 of the Terms of Service.

8. Disclaimers and Limitation of Liability

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. ExactPour does not warrant that the Software (including barcode scanning, AI outputs, forecasts, or recommendations) will be uninterrupted, error-free, accurate, or meet your requirements.

ExactPour's total liability and your remedies under this EULA are subject to the disclaimers, limitations of liability, and indemnification provisions in the Terms of Service (including the AI-specific disclaimers). In no event will ExactPour be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or related to this EULA or the Software.

9. Governing Law

This EULA is governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Any disputes arising under this EULA will be resolved as set forth in the Terms of Service.
